Corporate governance is the foundation of responsible and effective business leadership. This module provides a comprehensive exploration of governance principles, equipping board members and senior executives with the expertise needed to navigate complex regulatory landscapes, enhance strategic decision-making, and uphold ethical leadership. Through expert-led discussions, real-world case studies, and interactive sessions, participants will develop the skills necessary to strengthen board effectiveness and drive sustainable business success.

The module begins with an introduction to corporate governance, focusing on the OECD principles, fundamental governance elements, and the delicate balance between shareholders, board members, and management. Participants will examine the structure of corporate governance, exploring various governance systems, legal and corporate frameworks, and the role of policies, codes, and board charters in defining accountability.

A critical aspect of governance is the relationship between shareholders and stakeholders. This section covers shareholder rights, particularly for minority investors, strategies for effective stakeholder communication, and methods for identifying and managing key relationships that influence corporate performance.

Reputation and business ethics play an essential role in governance. The module delves into ethical decision-making at the board level, the impact of governance on corporate reputation, and fostering a culture of integrity and accountability within organizations.

The discussion on board roles and responsibilities provides clarity on the key duties of board members, including the difference between managing and directing, the relationship between the Board Chair and CEO, and legal obligations such as director’s and officer’s liability insurance. Participants will gain a clear understanding of their responsibilities and the risks they must navigate in governance roles.

Effective board composition and structure are crucial for strong corporate oversight. This module examines board size, diversity, and independence, the selection and succession planning process, leadership attributes, and the formation of board committees. Governance practices related to board remuneration and performance evaluation will also be explored.

Disclosure and reporting are essential for corporate transparency and accountability. This section focuses on financial and non-financial disclosures, related party transactions, investor relations, and the role of an Investor Relations specialist in ensuring effective shareholder communication.

Schedule

The module takes place in person at the Bucharest Business School headquarters, located at Piața Romană 7. It is structured as a full-day session on a Saturday, offering 8 hours of intensive and engaging learning.
