This module provides board members and senior executives with a comprehensive understanding of financial stewardship, corporate finance, and internal controls, ensuring they can fulfill their fiduciary responsibilities with confidence. Through expert-led discussions, real-world case studies, and interactive sessions, participants will develop the skills necessary to interpret financial statements, oversee major transactions, and establish a robust control environment that safeguards corporate integrity.

The module begins by examining the importance of financial governance, focusing on the board’s role in financial stewardship and oversight. Participants will gain insights into how financial information is used by different stakeholders and will explore the key components of financial statements, including ratio analysis, reporting constraints, and the risks associated with inadequate financial information.

A critical aspect of board governance is understanding corporate finance and its impact on strategic decision-making. This section explores the board’s role in mergers and acquisitions (M&A), major transactions, and financing strategies. Participants will assess the advantages and disadvantages of public listing, understand valuation methods, and examine how financial structures influence long-term business growth.

The final section of the module focuses on the control environment, a fundamental aspect of corporate governance that ensures transparency, compliance, and risk mitigation. Participants will explore internal control systems, internal audit functions, and compliance requirements. The session will also cover the responsibilities of the audit committee, the board’s relationship with external auditors, and mechanisms such as whistleblowing to strengthen corporate accountability.
